Professional Services Agreement (B2B)

Article 1

Purpose

These Terms govern the relationship between b.AI Juliet and its professional (B2B) Clients for the provision of AI-assisted interior visualisation services.

Article 2

Scope of Services

Services may include mood boards, AI-generated visualisations, walkthrough videos, floor and wall covering visualisations and presentation material. The purpose is to assist design evaluation and commercial presentation.

Article 3

Project Workflow

Every project follows the official b.AI Juliet Project Workflow. Each project receives a unique Project ID.

Article 4

Client Responsibilities

The Client shall provide complete and accurate information, suitable photographs and videos, plans where available, complete the questionnaire on time and ensure it has the legal right to submit all materials.

Article 5

Technical Validation

Juliet reviews each project before production. If information is incomplete, contradictory, or technically unsuitable, b.AI Juliet may request clarification, suspend or refuse the project.

Article 6

Production

Production starts only after payment, completed questionnaire, receipt of all required documents and successful technical validation. Once production starts, the original project brief is frozen. Any material change constitutes a new project.

Article 7

Deliverables

The deliverables depend on the package purchased and may include one or more mood boards, visualisations, walkthrough videos, presentation images or other agreed deliverables.

Article 8

Revision Policy

Each package includes two refinements unless otherwise agreed. A refinement improves the approved design and does not create a new design. Changes to products, materials, manufacturers, source files, viewpoints or project scope constitute a new project.

Article 9

Production Times

Standard production: up to 48 business hours after technical validation. Revision Request 1 within 5 calendar days after delivery. Revision Request 2 within 2 calendar days after Revision 1.

Article 10

Acceptance

The project is deemed accepted upon written acceptance, commercial use by the Client, or if no Revision Request 1 is received within 5 calendar days after delivery.

Article 11

AI and Technical Limitations

Deliverables are AI-assisted artistic representations supervised by Juliet. Colours, lighting, textures, reflections, proportions and other visual elements may differ from reality.

Article 12

Purpose of Deliverables

Deliverables are intended for design evaluation, presentations, marketing and commercial communication. They are not architectural, engineering, construction or installation documents.

Article 13

Intellectual Property and Permitted Use

Upon full payment, the Client may use the deliverables for the intended commercial project. Ownership of b.AI Juliet's methods, prompts, workflows, branding and know-how remains with b.AI Juliet.

Article 14

Confidentiality, Portfolio Use and Data Protection

14.1

All documents and information submitted by the Client shall be treated as confidential.

14.2

b.AI Juliet shall not publish, display or use any project or deliverable for marketing, portfolio or public purposes without the Client's prior written consent.

14.3

The Client is solely responsible for ensuring it has obtained all permissions and legal rights required to submit photographs, videos, plans and other materials, including compliance with GDPR or other applicable privacy laws in relation to its own customers or third parties.

14.4

b.AI Juliet acts solely as a service provider and is not responsible for verifying the Client's legal rights or GDPR compliance regarding submitted materials.

Article 15

Limitation of Liability

To the maximum extent permitted by law, b.AI Juliet shall not be liable for purchasing decisions, construction decisions, installation methods, supplier availability, manufacturer changes, indirect or consequential losses. Total liability shall not exceed the amount paid for the project.

Article 16

Project Closure

Projects may be closed if the questionnaire is not completed on time, required information is missing, the Client becomes unresponsive or production becomes technically impossible. Additional work after closure is treated as a new project.

Article 17

Governing Law

These Terms are governed by the laws of the United Arab Emirates and are intended for B2B relationships.

Article 18

Force Majeure

b.AI Juliet shall not be liable for delays caused by events beyond its reasonable control, including internet outages, AI platform failures, cyber incidents, natural disasters, governmental actions or similar events.
